(a) If the Tribal Council determines that one or more grounds exist for dissolving a corporation, it shall serve the corporation with written notice of its determination.

(b) If the corporation fails to either (1) correct each ground for dissolution, or (2) demonstrate that each ground for dissolution does not exist, within 60 days from the date of receipt of the notice, the Tribal Council shall administratively dissolve the corporation by signing a certificate of dissolution.

(c) The certificate of administrative dissolution shall expressly set forth the ground(s) for dissolution and its effective date.

(d) The Tribal Council shall retain the original certificate of dissolution, and serve a copy thereof on the corporation.

(e) A corporation that has been administratively dissolved cannot carry on any corporate business except that necessary to wind up corporate affairs and liquidate assets.

(f) Administrative dissolution of a corporation does not terminate the authority of its registered agent. [Ord. 18 Part V § 8, adopted, 10/7/2008.]
