(a) Whenever dissolution is authorized, the corporation may dissolve by delivering the articles of dissolution to the Tribal Council for filing.

(b) The articles of dissolution shall set forth:

(1) The name of the corporation;

(2) The date dissolution was authorized;

(3) Whether dissolution was approved by the shareholders:

(4) The number of shares entitled to vote on the proposal to dissolve; and

(5) Either the total number of votes cast for and against dissolution, or the total number of undisputed votes cast for dissolution along with a statement that the number cast for dissolution was sufficient for approval.

(c) If voting by voting groups was required, the information required by subsection (b) of this section must be separately provided for each voting group entitled to vote on the proposal to dissolve.

(d) If dissolution resulted from exercise of an option to dissolve, a copy of the required notice shall be attached.

(e) A corporation is dissolved upon the effective date of its articles of dissolution. [Ord. 18 Part V § 3, adopted, 10/7/2008.]
