If a director should move from his or her Tribal Council district, die, is found to be negligent in his or her duties, or is found guilty of a felony or major crime in any court of law, the Tribal Council shall declare that utility authority board position vacant. If any director misses three consecutive utility authority meetings without a valid written excuse, the Tribal Chairperson, after due consultation with the Tribal Council, may declare that position vacant. All vacancies shall be filled within three months in accordance with YTC 25.10.050. All persons considered to fill replacement positions on the board of directors shall meet the eligibility requirements defined in YTC 25.10.050. In the event that the number of unfilled board of directors vacancies prevents gathering of a quorum for purposes of conducting business, the Tribal Council shall act as the interim utility authority, until such time as the filling of board of director’s vacancies allows for a quorum.
